Maggie Wilderotter, a director at internet firm Yahoo!, will be leaving her position at the company before the end of 2009.
Wilderotter had been overseeing Yahoo!'s audit committee since joining the search engine group in 2007.
Wilderotter's previous roles have included an executive position at software giant Microsoft.
Once she steps down this year, Yahoo! will be down to 11 members on its board of directors.
Announcing the director's imminent departure, Yahoo! said: "On September 23rd 2009, Mrs Maggie Wilderotter notified Yahoo! that she intends to resign from the company's board of directors on December 31, 2009."
The decision was made because she wants to concentrate on other responsibilities, rather than due to any disagreement or company operations, policy or practices matter, it added.
Last week, Yahoo! launched its new-look web portal alongside a global advertising campaign.
It represents one of the first major moves made by the firm's new chief executive officer Carol Bartz, who took over the position from the group's co-founder Jerry Yang in January this year.
